These Terms of Service govern your use of TXTY (the "Service"), operated by TOYOUDREAM Inc. ("we", "the Company"), and set out the rights and obligations of the Company and users.

• "User" means anyone who accesses and uses the Service under these Terms.
• "Buyer" means a business that uses the Service to review or negotiate IP rights.
• "Content" means all materials the Service provides, including IP brochures, cover images, sample manuscripts and data.

• These Terms take effect when posted on the Service.
• We may amend these Terms within the limits of applicable law; amendments apply from the time they are posted.
• Where these Terms are provided in Korean and English, the Korean version prevails in case of any discrepancy.

We provide features such as browsing the IP catalog, downloading brochures, requesting sample manuscripts and requesting meetings.

Any actual licensing or assignment of rights is concluded through a separate agreement between the parties. Using the Service or receiving a brochure or sample manuscript does not, in itself, grant or transfer any rights.

The Service is intended for businesses in the publishing, media and related industries. You are responsible for the accuracy of the information you provide when using the Service or submitting enquiries and requests.

You must not:

• violate applicable law or these Terms;
• collect data without authorisation (crawling/scraping) or access the Service by abnormal automated means;
• reverse engineer the source or structure of the Service;
• interfere with the normal operation of the Service or breach its security;
• impersonate others or misappropriate their identity;
• post or transmit material that infringes third-party rights or is unlawful or harmful.

All copyright and other intellectual property rights in the Service and its Content (brochures, covers, sample manuscripts, etc.) belong to the Company or the original rights holders.

You may use brochures and sample manuscripts solely for the purpose of reviewing rights, and may not copy, distribute, publish, translate, create derivative works from, or provide them to third parties without our prior written consent.

You warrant that you hold the necessary rights in any material you submit, and we use such material only to review and respond. Rights in submitted manuscripts remain with the submitter.

We are not responsible for the content or accuracy of any external links or integrated services included in the Service.

The Service is provided "as is". We do not warrant the accuracy, completeness or fitness for a particular purpose of any information, or that the Service will be uninterrupted or error-free.

To the extent permitted by applicable law, we are not liable for any indirect, incidental, special or consequential damages, or for lost profits or lost business opportunities, arising from your use of the Service.

If you cause damage to the Company or a third party by breaching these Terms or the law, or by improperly using the Service, you shall indemnify such damage.

If you breach these Terms, we may restrict your use of the Service or suspend your account without prior notice.

These Terms are governed by and construed in accordance with the laws of the Republic of Korea, and any dispute arising in connection with the Service is subject to the exclusive jurisdiction of the court having jurisdiction over the Company's head office.
